Terms of Service

These Terms of Service ("Terms") govern your access to and use of the website demetar-company.com (the "Site") and any services, content, products or materials offered through it (collectively, the "Services") by Demetar Company Kft, a company registered in Hungary with its registered office at 1043 Budapest, Bocskai út 26. Fsz. 8. ajtó ("Demetar", "we", "our", "us"). By accessing or using the Site or the Services you agree to be bound by these Terms. If you do not agree, you must not use the Site or the Services.

1. Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction, and able to form a legally binding contract to use the Site or the Services. If you use the Services on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms, in which case "you" refers to that entity.

2. Services we provide

Demetar provides a range of professional services and products including, without limitation, IT services and web development, technical documentation development, marketing, advertising and consulting, digital marketing, and the sale and supply of electronic equipment such as smartphones, modems, headphones, batteries, uninterruptible power supplies, charging stations, power banks, servers, smartwatches and related consumer electronics. The specific scope, deliverables, pricing, timeline and warranty terms of any engagement or purchase will be set out in a separate written agreement, statement of work, quotation or order confirmation, which will prevail over these Terms in case of any conflict regarding that specific engagement.

3. Use of the Site

You agree to use the Site only for lawful purposes and in a manner that does not infringe the rights of, restrict or inhibit anyone else's use and enjoyment of the Site. Prohibited behaviour includes harassing or causing distress or inconvenience to any other user, transmitting obscene or offensive content, attempting to gain unauthorised access to the Site, its servers or any connected database, or disrupting the normal flow of dialogue within the Site.

4. Intellectual property

Unless otherwise stated, Demetar and/or its licensors own the intellectual property rights for all material on the Site, including but not limited to the design, text, graphics, logos, icons, images, audio clips, downloads, interfaces, information, code and software. All such rights are reserved. You may view, download and print pages from the Site for your own personal, non-commercial use, subject to the restrictions set out in these Terms. You must not republish, sell, rent or sub-license material from the Site, reproduce, duplicate or copy material for commercial purposes, or redistribute content unless content is specifically made for redistribution.

5. Orders, prices and payment for electronics

All prices indicated on the Site or in any quotation are net of VAT and other applicable taxes unless explicitly stated otherwise. Prices may be subject to change without prior notice; the price applicable to your order is the price confirmed in writing by Demetar in the order confirmation. Orders are accepted subject to availability. Title to goods remains with Demetar until full payment has been received. Risk passes to the buyer in accordance with the agreed delivery terms (Incoterms 2020) specified in the order confirmation.

6. Warranties and disclaimers

The Site and its contents are provided on an "as is" and "as available" basis, without any warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. Demetar does not warrant that the Site will be available at all times, uninterrupted, secure or error-free, or that any defects will be corrected. Specific warranties for products and services delivered under a separate agreement are governed by that agreement and applicable mandatory law.

7. Limitation of liability

To the maximum extent permitted by applicable law, Demetar shall not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits, revenue, data, business opportunities or goodwill, whether incurred directly or indirectly, arising out of or in connection with your use of the Site or the Services. Nothing in these Terms excludes or limits Demetar's liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any other liability which cannot lawfully be excluded.

8. Indemnity

You agree to indemnify and hold Demetar harmless from and against any and all claims, liabilities, damages, losses and expenses, including reasonable legal fees, arising out of or in any way connected with your access to or use of the Site or the Services, your violation of these Terms, or your violation of any rights of a third party.

9. Third-party links

The Site may contain links to third-party websites or services that are not owned or controlled by Demetar. We have no control over, and assume no responsibility for, the content, privacy policies or practices of any third-party sites or services. You acknowledge and agree that Demetar shall not be liable for any damage or loss caused or alleged to be caused by or in connection with the use of such content, goods or services available on or through any such third-party sites or services.

10. Changes to these Terms

We may revise these Terms at any time by updating this page. You are expected to check this page from time to time to take notice of any changes we make, as they are binding on you. Continued use of the Site after any such changes constitutes your acceptance of the new Terms.

11. Governing law and jurisdiction

These Terms, their subject matter and their formation, are governed by the laws of Hungary. The courts of Budapest, Hungary, will have exclusive jurisdiction over any dispute arising out of or in connection with these Terms, save where mandatory consumer protection law provides otherwise.
